Terms of Use

These Terms of Use ("Terms") are between you and AMB Studio LLC, the owner and operator of Theory Golf ("we", "us", "our"). By creating an account, installing, or using the Theory Golf app (the "App"), you agree to these Terms. If you do not agree, do not use the App.

1. Your License to Use the App

We grant you a limited, revocable, non-exclusive, non-transferable license to use the App for personal, non-commercial purposes on Apple devices you own or control, subject to these Terms and Apple's App Store terms.

2. Accounts

You are responsible for your account credentials and for all activity under your account. You must provide accurate information and be legally able to enter into these Terms. You can delete your account at any time from within the App (Me tab → Delete Account), which permanently removes your account and associated data.

3. Subscriptions and Billing

Some features of the App require a paid Theory Golf Premium subscription, purchased through Apple as an in-app purchase.

Billing: Payment is charged to your Apple Account at confirmation of purchase.
Auto-renewal: Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current period. Your Apple Account is charged for renewal within 24 hours before the end of the current period.
Free trials: If a free trial is offered, any unused portion is forfeited when you purchase a subscription. Unless cancelled before the trial ends, the trial converts to a paid subscription.
Managing and cancelling: You can manage or cancel your subscription in your device Settings → Apple Account → Subscriptions, or from within the App.
Refunds: Purchases are processed by Apple; refund requests are handled by Apple under its policies.
Prices: Prices are shown in the App before purchase and may change for future billing periods with notice as required by Apple.

4. On-Course Information Is an Estimate

Distances, elevations, wind, club recommendations, strategy advice, AI insights, scoring, handicap calculations, and all other outputs are estimates that may be inaccurate or unavailable. Do not rely on the App as your sole source of distance, strategy, or course information. This is especially important during tournament or competition play, where local rules, course markers, official rangefinders, and rules officials are authoritative. You are solely responsible for your decisions on the course and for complying with the rules of golf and any competition conditions, including restrictions on distance-measuring and advice devices.

5. No Warranty

The App is provided "AS IS" and "AS AVAILABLE" without warranty of any kind. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the App will be uninterrupted, error-free, or that data (including rounds, statistics, and handicap figures) will be preserved without loss.

6. Limitation of Liability

To the maximum extent permitted by law, AMB Studio LLC, its affiliates, and contributors are not liable for any indirect, incidental, consequential, special, or punitive damages, or any loss of strokes, scores, prizes, handicap standing, data, or profits, arising from your use of the App — even if we have been advised of the possibility of such damages. Our total liability for any claim relating to the App is limited to the amount you paid us for the App in the twelve months before the claim arose.

7. Intellectual Property

All right, title, and interest in the App, including its source code, AI prompts and outputs, analytics models, algorithms, course data corrections, designs, brand, and documentation, are and remain the exclusive property of AMB Studio LLC. These Terms do not grant you any ownership rights. Course imagery and map data are provided under license from third parties and remain the property of their respective owners.

8. Acceptable Use

You agree NOT to:

Copy, modify, distribute, sublicense, sell, rent, or lease any part of the App.
Reverse engineer, decompile, disassemble, or attempt to derive the source code, models, or algorithms of the App, except where such restriction is prohibited by law.
Use the App, its outputs, or its data to design, build, train, or market a competing product or service.
Scrape, harvest, or systematically extract data from the App or its services.
Use the App to harass other users, cheat in competition, or violate any law or rule of golf.
Circumvent subscription gating, rate limits, or security measures, or access another user's account.
Remove or alter any proprietary notices.

9. User Content and Feedback

You retain ownership of the data you log in the App. You grant us a license to host, process, and analyze that data to operate and improve the App, as described in our Privacy Policy. If you provide feedback, suggestions, bug reports, or ideas ("Feedback"), you grant AMB Studio LLC a perpetual, irrevocable, worldwide, royalty-free license to use that Feedback for any purpose without obligation to you.

Community content — zero tolerance for objectionable content and abusive behavior. The App includes social features where you can share rounds, comment on friends' activity, and interact with other users. You must not post content that is unlawful, threatening, harassing, hateful, discriminatory, obscene, sexually explicit, or otherwise objectionable. There is no tolerance for objectionable content or abusive users. We filter certain language automatically, and every piece of community content can be reported from within the App; you can also block any user from their profile, which immediately hides them and their content from you. We review reports promptly — ordinarily within 24 hours — and will remove violating content and suspend or terminate the accounts of offending users. To report a concern outside the App, contact us at the support address on our App Store page.

10. Privacy

Your use of the App is subject to our Privacy Policy, which describes what we collect and how we use it.

11. Changes to the App and These Terms

We may add, change, or remove features of the App at any time. We may update these Terms from time to time; the "Last updated" date above reflects the current version. Material changes may be presented to you in the App for acceptance. Continued use of the App after changes take effect constitutes acceptance.

12. Term and Termination

These Terms are effective until terminated. We may suspend or terminate your access for breach of these Terms or misuse of the App. Upon termination you must stop using the App. Sections 4 (Estimates), 5 (No Warranty), 6 (Liability), 7 (IP), 8 (Acceptable Use), 9 (Feedback), and 13 (General) survive termination.

13. General

Governing law: These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws principles.
Apple as third-party beneficiary: Apple is not responsible for the App or its content. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.
No assignment: You may not assign these Terms; we may.
Entire agreement: Together with the Privacy Policy, these Terms are the entire agreement between you and AMB Studio LLC regarding the App, and supersede prior agreements, including any beta test agreement.
Severability: If any provision is unenforceable, the rest remains in effect.
