Beta Test Agreement

This Beta Test Agreement ("Agreement") is between you ("Tester") and AMB Studio LLC, the owner and operator of Theory Golf ("we", "us", "our"). By installing, launching, or using the Theory Golf beta ("Beta Software"), you agree to these terms. If you do not agree, do not use the Beta Software.

1. Purpose of the Beta

The Beta Software is a pre-release version made available for testing, feedback, and evaluation. It is not a finished product. We may add, change, or remove features at any time, and the beta program may end without notice.

2. No Warranty — Use at Your Own Risk

The Beta Software is provided "AS IS" and "AS AVAILABLE" without warranty of any kind. We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, accuracy, and non-infringement.

Distances, elevations, wind, club recommendations, strategy advice, AI insights, scoring, handicap calculations, and all other outputs are estimates that may be inaccurate or unavailable. Do not rely on the Beta Software as your sole source of distance, strategy, or course information. This is especially important during tournament or competition play, where local rules, course markers, official rangefinders, and rules officials are authoritative. You are solely responsible for your decisions on the course.

3. Limitation of Liability

To the maximum extent permitted by law, Theory Golf, its affiliates, and contributors are not liable for any indirect, incidental, consequential, special, or punitive damages, or any loss of strokes, scores, prizes, handicap standing, data, or profits, arising from your use of the Beta Software — even if we have been advised of the possibility of such damages.

4. Confidentiality

The Beta Software, its features, user interface, performance, bugs, and any non-public information you learn through the beta program ("Confidential Information") are confidential. You agree:

Not to disclose Confidential Information to anyone outside the beta program.
Not to post screenshots, videos, screen recordings, or written descriptions of the Beta Software publicly (social media, forums, articles, etc.) without our prior written permission.
To keep your access credentials and TestFlight invitation private.

Confidentiality obligations survive the end of the beta program.

5. Intellectual Property

All right, title, and interest in the Theory Golf app, including its source code, AI prompts and outputs, analytics models, algorithms, course data corrections, designs, brand, and documentation, are and remain the exclusive property of AMB Studio LLC. This Agreement does not grant you any ownership rights — only a limited, revocable, non-transferable license to use the Beta Software for personal testing.

6. Restrictions

You agree NOT to:

Copy, modify, distribute, sublicense, sell, rent, or lease any part of the Beta Software.
Reverse engineer, decompile, disassemble, or attempt to derive the source code, models, or algorithms of the Beta Software, except where such restriction is prohibited by law.
Use the Beta Software, its outputs, its data, or any information learned from it to design, build, train, or market a competing product or service.
Scrape, harvest, or systematically extract data from the Beta Software.
Use the Beta Software to harass other users, cheat in tournaments, or violate any law or rule of golf.
Remove or alter any proprietary notices.

7. Feedback

If you provide feedback, suggestions, bug reports, or ideas ("Feedback"), you grant Theory Golf a perpetual, irrevocable, worldwide, royalty-free license to use that Feedback for any purpose without obligation to you. Feedback is not confidential to you.

8. Data Collection

Use of the Beta Software is subject to our Privacy Policy. The beta may collect additional diagnostic, crash, and usage data to help us improve the app.

9. Term and Termination

This Agreement is effective until terminated. We may suspend or revoke your access at any time, for any reason, with or without notice. Upon termination you must stop using the Beta Software and delete it from your devices. Sections 2 (No Warranty), 3 (Liability), 4 (Confidentiality), 5 (IP), 6 (Restrictions), 7 (Feedback), and 10 (General) survive termination.

10. General

Governing law: This Agreement is governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws principles.
No assignment: You may not assign this Agreement; we may.
Entire agreement: Together with the Privacy Policy, this is the entire agreement between you and Theory Golf regarding the Beta Software, and supersedes prior agreements.
Severability: If any provision is unenforceable, the rest remains in effect.

By using the Beta Software, you acknowledge you have read, understood, and agreed to this Agreement.
